Governing Law and Jurisdiction. All matters relating to the Site and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction). Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in the County of Los Angeles although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Indemnity. As a condition of your use of this Site, you agree to defend, indemnify and hold harmless the Form First Pilates, its affiliates, licensors and service providers, and its and their respective officers, directors, members, managers, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site, including, but not limited to, any use of the Site's content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Site.
Arbitration. At Form First Pilates’ sole discretion, it may require you to submit any disputes arising from the use of these Terms of Use or the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.
Limitation on Time to File Claim. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Entire Agreement. These Terms of Use and any other legal notices, policies and guidelines of Form First Pilates linked to these Terms of Use or contained on this Site, including the Privacy Policy, as well as the Terms and Conditions of Service if you are a customer of Form First Pilates, constitute the entire agreement between you and Form First Pilates relating to your use of this Site and supersede any prior understandings or agreements (whether oral or written), claims, representations, and understandings of the parties regarding such subject matter. This Agreement may not be amended or modified except by Form First Pilates. If, for any reason, a court of competent jurisdiction finds any provision or portion of these Terms of Use to be unenforceable, that portion or provision shall be enforced to the maximum extent permissible so as to effectuate the intent of the parties as reflected by that provision, and the remainder of these Terms of Use shall continue in full force and effect. Form First Pilates understands how important your privacy is. This privacy policy (the “Privacy Policy”) sets out the privacy policies and practices for Form First Pilates, LLC and its subsidiaries and affiliates (collectively, “Form First Pilates”) with respect to how Form First Pilates collects your personal information. It also describes how Form First Pilates maintains, uses, and discloses personal information. This Privacy Policy applies to information collected from you by Form First Pilates via the Site. This Privacy Policy also sets out how you can access certain information that Form First Pilates may collect about you. If Form First Pilates learns we have collected or received Personal Information from a child under 18, we will delete that information. Form First Pilates does not accept online registration of minors; please do not attempt to register via our Site if you are under the age of 18. Registration for any minor must be completed in person at our studio with a parent or guardian. Minors who are at least 13 years of age, meet the minimum height requirement of 4’11”, and who have submitted a Waiver Form signed by a parent or guardian may sign up for our services. If you believe Form First Pilates might have any information from or about a child under 18, please contact us at info@formfirstpilates.com. What Personal Information does Form First Pilates collect, and how is it collected?
What do we collect? Form First Pilates may directly collect your name, address, phone number, birthday, billing address and email address. There may be other information you provide, but that will not be collected by Form First Pilates and instead will be collected by the third parties Form First Pilates works with as outlined in 4.4.
Email. We may send you a newsletter or other promotional materials through email. We will only contact you through our newsletter for promotional or informational purposes. Subscribing to our newsletters is optional, and you will always be able to unsubscribe. This applies to any information you submit through our website or that you provide to us in any other manner.
Phone Number. We may collect your phone number, and we may contact you via phone to contact you or if we feel there is information that would be beneficial to share with you. However, please know we do not currently sell data triggering that statute’s opt-out requirements.
California Civil Code Section § 1798.83 permits users of our Site that are California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. How We Respond to Do Not Track Signals for California Residents: California Business & Professions Code Section 22575(b) (as amended effective January 1, 2014) provides that California residents are entitled to know how we respond to “Do Not Track” browser settings. We do not currently take actions to respond to Do Not Track signals because a uniform technological standard has not yet been developed. We continue to review new technologies and may adopt a standard once one is created.
Data Security and Storage.
We store and process your information on our servers located in the United States.
We have implemented measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. Some of the safeguards we use are firewalls, data encryption, physical access controls to our data centers and information access authorization controls.
It is your responsibility to make sure that your personal information is accurate and that your password(s) and account registration information are secure and not shared with third parties.
